Recent Semrush Acquisition by Adobe

Adobe recently announced a deal to acquire Semrush in an all-cash transaction valued at about $1.9 billion. Under the deal, Adobe agreed to pay $12.00 per share to buy Semrush.

What makes this acquisition particularly exciting and potentially transformative is the strategic angle behind it.

Adobe isn’t just buying another SEO tool; it’s bringing Semrush’s powerful search engine optimization (SEO) and Generative Engine Optimization (GEO) capabilities directly into its broader suite of digital experience products.

For users, this could mean better insights and more powerful tools, as Semrush’s keyword data and competitive research are combined with Adobe’s creative and analytics expertise.

The deal is still pending regulatory and shareholder approval and is expected to close in the first half of 2026. Iif all goes according to plan, it could significantly reshape how brands manage online visibility in an increasingly AI-focused marketing industry.

Let’s now talk about the facts.

Annual Recurring Revenue (ARR)

Semrush’s Annual Recurring Revenue, or ARR, is a key number that shows how much steady, subscription-based income the company expects to bring in over a full year from its paying customers.

On the last day of a quarter, Semrush looks at the value of all active paying contracts that day, multiplies by 365 to make it an annual figure, and that’s their ARR.

It only counts subscriptions from customers who are actually paying, no free users or expired trials. This gives a clear snapshot of their core money-makers.

As of September 30, 2025, Semrush reported $455.4 million in ARR. That’s up from $400.7 million on the same date in 2024 with 14% increase overall.

But here’s the interesting part: they had about 114,000 paying customers then, down from roughly 117,000 a year earlier. They lost around 2,000 customers in that quarter. Despite fewer customers, ARR grew because the remaining ones are spending more on average.

The following table suggests the Semrush’s total annual recurring revenue over the years:

QuarterSemrush ARR (in million)
2021$768 million
2022$1,033 million
2023$1,255.3 million
2024$1,544.5 million
2025$1769.9 million

Source: Semrush

Moreover, in 2024, the average ARR per paying customer was $3,522.  By September 2025, it jumped to $4,000.

Average ARR per customer rose 15% year-over-year, meaning each account is worth more. Total paying customers might not be exploding, but the value per customer is!

Here is a quick look at the ARR per paying customer over the years:

YearSerush ARR per customer
2019$1,892
2020$2,123
2021$2,584
2022$2,868
2023$3,125
2024$3,522
2025*$4,000*

The real standout is their enterprise segment, where big names like Amazon, JPMorgan Chase, and TikTok are customers. In the latest quarter, this group saw a whopping 33% year-over-year ARR growth.
